Agreement Between User And Lee Wenyong
The network of Web Sites (collectively, the "Leewenyong Web Sites") operated by Lee Wenyong & Co. Holdings Pte. Ltd. or its affiliates or subsidiaries is comprised of various Web sites and Web pages. The Leewenyong Web Sites are offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Leewenyong Web Sites constitutes your agreement to all such terms, conditions, and notices. Your use of a particular Leewenyong website included within the Leewenyong Web Sites network may also be subject to additional terms outlined elsewhere on that website (the "Additional Terms"). Additionally, the Leewenyong Web Sites may themselves contain additional terms that govern particular features or offers (for example, sweepstakes or chat areas). In the event that any of the terms, conditions, and notices contained herein conflict with the Additional Terms or other terms and guidelines contained within any particular Leewenyong website, then these terms shall control.

You may not upload to, distribute, or otherwise publish through the Site any content which is libelous, defamatory, obscene, threatening, invasive of privacy or publicity rights, abusive, illegal, or otherwise objectionable, or which may constitute or encourage a criminal offense, violate the rights of any party or otherwise give rise to liability or violate any law. Copyrights And Trademarks.
The entire content included in this Site, including but not limited to text, design, graphics, interfaces, or code and the selection and arrangements thereof is copyrighted as a collective work under the United States and other copyright laws, and is the property of Leewenyong. The collective work includes works that are licensed to Leewenyong. Copyright 2012. ALL RIGHTS RESERVED. All trademarks, service marks, and trade names (collectively the "Marks") are trademarks or registered trademarks of and are proprietary to Leewenyong, or other respective owners that have granted Leewenyong the right and license to use such Marks.
Notices And Procedures For Making Claims Of Copyright Infringement.
Pursuant to Title 17, Singapore Code, Section 512(c)(2), notifications of claimed copyright infringement should be sent to the website's designated agent. ALL INQUIRIES NOT RELEVANT TO OR NOT COMPLYING WITH THE FOLLOWING PROCEDURE WILL RECEIVE NO RESPONSE.
Leewenyong respects the intellectual property of others, and we ask our users and visitors to do the same. Leewenyong will process and investigate notices of alleged infringement and will take appropriate actions under the Digital Millennium Copyright Act ("DMCA") and other applicable intellectual property laws. Upon receipt of notices complying with the DMCA, Leewenyong will act to remove or disable access to any material found to be infringing or found to be the subject of infringing activity and will act to remove or disable access to any reference or link to material or activity that is found to be infringing.

ALL OTHER INQUIRIES, SUCH AS PRODUCT OR SERVICE RELATED QUESTIONS AND REQUESTS, OR QUESTIONS ON PRIVACY, WILL NOT RECEIVE A RESPONSE THROUGH THIS PROCESS.
Typographical Errors.
In the event a Leewenyong product or service is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, Leewenyong shall have the right to refuse or cancel any orders placed for product or service listed at the incorrect price. Leewenyong shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, Leewenyong shall issue a credit to your credit card account in the amount of the incorrect price.
Term; Termination.
These terms and conditions are applicable to you upon your accessing the Site and/or completing the registration or shopping process. These terms and conditions, or any of them, may be modified or terminated by Leewenyong without notice at any time for any reason. The provisions relating to Copyrights and Trademarks, Disclaimer, Claims, Limitation of Liability, Indemnification, Applicable Laws, Arbitration and General, shall survive any termination.
User Participation.
Leewenyong does not and cannot review all communications and materials posted to or created by users accessing the Site and is not in any manner responsible for the content of these communications and materials. You acknowledge that by providing you with the ability to view and distribute user generated content on the Site, Leewenyong is merely acting as a passive conduit for such distribution and is not undertaking any obligation or liability relating to any contents or activities on the Site. However, Leewenyong reserves the right to block or remove communications or materials that it determines to be (a) abusive, defamatory, or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright, trademark or; other intellectual property right of another or (d) violates any law or regulation or (e) offensive or otherwise unacceptable to Leewenyong at its sole discretion. Note that any personally identifiable information you may post or transmit will be treated by Leewenyong in accordance with Leewenyong's Privacy Policy.
User Submissions.
Except for any personally identifiable information we may collect from you under the guidelines established in our Privacy Policy, any material, information or other communication you transmit, upload or post to this Site ("Communications") will be considered non-confidential and non-proprietary. Leewenyong will have no obligations with respect to the Communications. Leewenyong and its designees will be free to copy, disclose, distribute, incorporate and otherwise use the Communications and all data, images, sounds, text, and other things embodied therein for any and all commercial or noncommercial purposes.

Each claim or statement about the effectiveness of Leewenyong products and/or each claim or statement comparing the effectiveness of Leewenyong products to the effectiveness of other products is expressly limited to the United States and Asia, unless otherwise disclosed on the Site.

Leewenyong makes no warranties or representations about the accuracy or completeness of this Site's content or the content of any site or External Sites.
Leewenyong does not filter advertisements or other content that children may view through our sites or "hot-linked" sites, and they could receive content and materials from the Internet and/or advertising that are inappropriate for children. We encourage parents and guardians to spend time online with their children and to consider using an electronic filtering software.

About Advertisements & Other Commercial Content Served or Enhanced by L12 HR
Our goal is to deliver advertising & other commercial or sponsored content that is valuable to our users & advertisers. In order to help us do that, you agree to the following:
You give us permission to use your name, profile picture, content, & information in connection with commercial, sponsored, or related content (such as a brand you like) served or enhanced by us. This means, for example, that you permit a business or other entity to pay us to display your name and/or profile picture with your content or information, without any compensation to you. If you have selected a specific audience for your content or information, we will respect your choice when we use it.
We do not give your content or information to advertisers without your consent.
You understand that we may not always identify paid services & communications as such.
Special Provisions Applicable to Advertisers
If you use our self-service advertising creation interfaces for creation, submission and/or delivery of any advertising or other commercial or sponsored activity or content (collectively, the “Self-Serve Ad Interfaces”), you agree to our Self-Serve Ad Terms. In addition, your advertising or other commercial or sponsored activity or content placed on L12 HR or our publisher network will comply with our Advertising Policies.
Special Provisions Applicable to Pages
If you create or administer a Page on L12 HR, or run a promotion or an offer from your Page, you agree to our Pages Terms.
Special Provisions Applicable to Software
If you download or use our software, such as a stand-alone software product, an app, or a browser plugin, you agree that from time to time, the software may download & install upgrades, updates & additional features from us in order to improve, enhance, & further develop the software.
You will not modify, create derivative works of, decompile, or otherwise attempt to extract source code from us, unless you are expressly permitted to do so under an open source license, or we give you express written permission.
Limitation Of Liability.
IN NO EVENT SHALL Leewenyong BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL, DAMAGES, OR ANY DAMAGES WHATSOEVER, EVEN IF Leewenyong HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER IN AN ACTION UNDER CONTRACT, NEGLIGENCE, OR ANY OTHER THEORY, ARISING OUT OF OR IN CONNECTION WITH THE USE, INABILITY TO USE, OR PERFORMANCE OF THE INFORMATION, SERVICES, PRODUCTS, AND MATERIALS AVAILABLE FROM THIS SITE. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. Indemnification.
You agree to indemnify, defend, and hold harmless Leewenyong, its officers, directors, employees, agents, licensors and suppliers (collectively the "Provider") from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to your Internet account (including negligent or wrongful conduct), by you or any other person accessing the Site using your Internet account.
If anyone brings a claim against us related to your actions, content or information on L12 HR, you will indemnify & hold us harmless from & against all damages, losses, & expenses of any kind (including reasonable legal fees & costs) related to such claim. Although we provide rules for user conduct, we do not control or direct users' actions on L12 HR & are not responsible for the content or information users transmit or share on L12 HR. We are not responsible for any offensive, inappropriate, obscene, unlawful or otherwise objectionable content or information you may encounter on L12 HR. We are not responsible for the conduct, whether online or offline, of any user of L12 HR.
By using or accessing L12 HR Services, you agree that we can collect & use such content & information in accordance with the Data Policy as amended from time to time. You may also want to review the following documents, which provide additional information about your use of L12 HR:

Applicable Laws.
Your use of this Site shall be governed in all respects by the laws of Singapore, without regard to choice of law provisions, and not by the 1980 U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to this Site (including but not limited to the purchase of Leewenyong products) shall be in the state or federal courts located in Hamilton County, Ohio. Any cause of action or claim you may have with respect to the Site (including but not limited to the purchase of Leewenyong products) must be commenced within one (1) year after the claim or cause of action arises. Leewenyong's failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. Leewenyong may assign its rights and duties under this Agreement to any party at any time without notice to you.
Leewenyong makes no representation that materials in the Site are appropriate or available for use in other locations, and access to them from territories where their content is illegal is prohibited. Those who choose to access this Site from locations outside Singapore do so on their own initiative and are responsible for compliance with applicable local laws. You may not use or export the materials in violation of Singapore’s export laws and regulations. Any claim relating to the materials shall be governed by the internal substantive laws of Singapore.
Arbitration.
By using this Site, you agree that Leewenyong, at its sole discretion, may require you to submit any disputes arising from the use of this Site, or these Terms and Conditions concerning or, including disputes arising from or concerning their interpretation, violation, nullity, invalidity, non-performance or termination, as well as disputes about filling gaps in this contract or its adaptation to newly arisen circumstances, to final and binding arbitration under the International Rules of Arbitration of the International Arbitration Association, by one or more arbitrators appointed in accordance with the said Rules. Notwithstanding these rules, however, such proceeding shall be governed by the laws of the state as set forth in the previous section.
Any award in an arbitration initiated under this clause shall be limited to monetary damages and shall include no injunction or direction to any party other than the direction to pay a monetary amount. Further, the arbitrator(s) shall have no authority to award punitive, consequential or other damages not measured by the prevailing party's actual damages in any arbitration initiated under this section, except as may be required by statute.

Leewenyong may revise these Terms at any time by updating this posting. You should visit this page from time to time to review the then-current Terms because they are binding on you. Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages at this Site.
Statement of Rights & Responsibilities
This Statement of Rights & Responsibilities ("Statement," "Terms," or "SRR") derives from the L12 HR Principles, & is our terms of service that governs our relationship with users & others who interact with L12 HR, as well as L12 HR brands, products & services, which we call the “L12 HR Services” or “Services”. By using or accessing the L12 HR Services, you agree to this Statement, as updated from time to time in accordance with Section 13 below. Additionally, you will find resources at the end of this document that help you understand how L12 HR works.
Because L12 HR provides a wide range of Services, we may ask you to review & accept supplemental terms that apply to your interaction with a specific app, product, or service. To the extent those supplemental terms conflict with this SRR, the supplemental terms associated with the app, product, or service govern with respect to your use of such app, product or service to the extent of the conflict.
WITHOUT LIMITATION OF THE FOREGOING, LEE WENYONG & CO EXPRESSLY DOES NOT WARRANT THAT:
1) THE L12 HR SOFTWARE WILL MEET YOUR REQUIREMENTS (OR EXPECTATIONS).
2) THE L12 SOFTWARE OR THE L12 SOFTWARE CONTENT WILL BE FREE OF BUGS, ERRORS, VIRUSES OR OTHER DEFECTS.
3) ANY RESULTS, OUTPUT OR DATA PROVIDED THROUGH OR GENERATED BY THE L12 SOFTWARE WILL BE ACCURATE, UP-TO-DATE, COMPLETE OR RELIABLE.
4) THE L12 SOFTWARE WILL BE COMPATIBLE WITH THIRD PARTY SOFTWARE.
5) ANY ERRORS IN THE L12 SOFTWARE WILL BE CORRECTED.
THIS SOFTWARE IS PROVIDED BY THE COPYRIGHT HOLDERS AND CONTRIBUTORS "AS IS" AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANT ABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED.

Privacy
Your privacy is very important to us. We designed our Data Policy to make important disclosures about how you can use L12 HR to share with others & how we collect & can use your content & information. We encourage you to read the Data Policy, & to use it to help you make informed decisions.
Sharing Your Content & Information
You own all of the content & information you post on L12 HR, & you can control how it is shared through your privacy & application settings. In addition:
For content that is covered by intellectual property rights, like photos & videos (IP content), you specifically give us the following permission, subject to your privacy & application settings: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with L12 HR (IP License). This IP License ends when you delete your IP content or your account unless your content has been shared with others, & they have not deleted it.
When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).
When you use an application, the application may ask for your permission to access your content & information as well as content & information that others have shared with you. We require applications to respect your privacy, & your agreement with that application will control how the application can use, store, & transfer that content & information. (To learn more about Platform, including how you can control what information other people may share with applications, read our Data Policy & Platform Page.
When you publish content or information using the Public setting, it means that you are allowing everyone, including people off of L12 HR, to access & use that information, & to associate it with you (i.e., your name & profile picture).
We always appreciate your feedback or other suggestions about L12 HR, but you understand that we may use your feedback or suggestions without any obligation to compensate you for them (just as you have no obligation to offer them).
Safety
We do our best to keep L12 HR safe, but we cannot guarantee it. We need your help to keep L12 HR safe, which includes the following commitments by you:
You will not post unauthorized commercial communications (such as spam) on L12 HR.
You will not collect users' content or information, or otherwise access L12 HR, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior permission.
You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on L12 HR.
You will not upload viruses or other malicious code.
You will not solicit login information or access an account belonging to someone else.
You will not bully, intimidate, or harass any user.
You will not post content that: is hate speech, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.
You will not develop or operate a third-party application containing alcohol-related, dating or other mature content (including advertisements) without appropriate age-based restrictions.
You will not use L12 HR to do anything unlawful, misleading, malicious, or discriminatory.
You will not do anything that could disable, overburden, or impair the proper working or appearance of L12 HR, such as a denial of service attack or interference with page rendering or other L12 HR functionality.
You will not facilitate or encourage any violations of this Statement or our policies.
Registration & Account Security
L12 HR users provide their real names & information, & we need your help to keep it that way. Here are some commitments you make to us relating to registering & maintaining the security of your account
You will not provide any false personal information on L12 HR, or create an account for anyone other than yourself without permission.
You will not create more than one company account.
If we disable your account, you will not create another one without our permission.
You will not use your personal timeline primarily for your own commercial gain, & will use a L12 HR Page for such purposes.
You will keep your contact information accurate & up-to-date.
You will not share your password (or in the case of developers, your secret key), let anyone else access your account, or do anything else that might jeopardize the security of your account.
You will not transfer your account (including any Page or application you administer) to anyone without first getting our written permission.
If you select a username or similar identifier for your account or Page, we reserve the right to remove or reclaim it if we believe it is appropriate (such as when a trademark owner complains about a username that does not closely relate to a user's actual name).
Protecting Other People's Rights
We respect other people's rights, & expect you to do the same.
You will not post content or take any action on L12 HR that infringes or violates someone else's rights or otherwise violates the law.
We can remove any content or information you post on L12 HR if we believe that it violates this Statement or our policies.
We provide you with tools to help you protect your intellectual property rights. To learn more, visit our How to Report Claims of Intellectual Property Infringement page.
If we remove your content for infringing someone else's copyright, & you believe we removed it by mistake, we will provide you with an opportunity to appeal.
If you repeatedly infringe other people's intellectual property rights, we will disable your account when appropriate.
You will not use our copyrights or Trademarks or any confusingly similar marks, except as expressly permitted by our Brand Usage Guidelines or with our prior written permission.
If you collect information from users, you will: obtain their consent, make it clear you (and not L12 HR) are the one collecting their information, & post a privacy policy explaining what information you collect & how you will use it.
You will not post anyone's identification documents or sensitive financial information on L12 HR.
You will not tag users or send email invitations to non-users without their consent. L12 HR offers social reporting tools to enable users to provide feedback about tagging.
Mobile & Other Devices
We currently provide our mobile services for free, but please be aware that your carrier's normal rates & fees, such as text messaging & data charges, will still apply.

When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).

When you publish content or information using the Public setting, it means that you are allowing everyone, including people off of L12 HR, to access & use that information, & to associate it with you (i.e., your name & profile picture).
We always appreciate your feedback or other suggestions about L12 HR, but you understand that we may use your feedback or suggestions without any obligation to compensate you for them (just as you have no obligation to offer them).
Safety
We do our best to keep L12 HR safe, but we cannot guarantee it. We need your help to keep L12 HR safe, which includes the following commitments by you:
You will not post unauthorized commercial communications (such as spam) on L12 HR.
You will not collect users' content or information, or otherwise access L12 HR, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior permission.
You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on L12 HR.
You will not upload viruses or other malicious code.
You will not solicit login information or access an account belonging to someone else.
You will not bully, intimidate, or harass any user.
You will not post content that: is hate speech, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.
You will not develop or operate a third-party application containing alcohol-related, dating or other mature content (including advertisements) without appropriate age-based restrictions.
You will not use L12 HR to do anything unlawful, misleading, malicious, or discriminatory.
You will not do anything that could disable, overburden, or impair the proper working or appearance of L12 HR, such as a denial of service attack or interference with page rendering or other L12 HR functionality.
You will not facilitate or encourage any violations of this Statement or our policies.
Registration & Account Security
L12 HR users provide their real names & information, & we need your help to keep it that way. Here are some commitments you make to us relating to registering & maintaining the security of your account
You will not provide any false personal information on L12 HR, or create an account for anyone other than yourself without permission.
You will not create more than one company account.
If we disable your account, you will not create another one without our permission.
You will not use your personal timeline primarily for your own commercial gain, & will use a L12 HR Page for such purposes.
You will keep your contact information accurate & up-to-date.
You will not share your password (or in the case of developers, your secret key), let anyone else access your account, or do anything else that might jeopardize the security of your account.
You will not transfer your account (including any Page or application you administer) to anyone without first getting our written permission.
If you select a username or similar identifier for your account or Page, we reserve the right to remove or reclaim it if we believe it is appropriate (such as when a trademark owner complains about a username that does not closely relate to a user's actual name).
Protecting Other People's Rights
We respect other people's rights, & expect you to do the same.
You will not post content or take any action on L12 HR that infringes or violates someone else's rights or otherwise violates the law.
We can remove any content or information you post on L12 HR if we believe that it violates this Statement or our policies.
We provide you with tools to help you protect your intellectual property rights. To learn more, visit our How to Report Claims of Intellectual Property Infringement page.
If we remove your content for infringing someone else's copyright, & you believe we removed it by mistake, we will provide you with an opportunity to appeal.
If you repeatedly infringe other people's intellectual property rights, we will disable your account when appropriate.
You will not use our copyrights or Trademarks or any confusingly similar marks, except as expressly permitted by our Brand Usage Guidelines or with our prior written permission.
If you collect information from users, you will: obtain their consent, make it clear you (and not L12 HR) are the one collecting their information, & post a privacy policy explaining what information you collect & how you will use it.
You will not post anyone's identification documents or sensitive financial information on L12 HR.
You will not tag users or send email invitations to non-users without their consent. L12 HR offers social reporting tools to enable users to provide feedback about tagging.
Mobile & Other Devices
We currently provide our mobile services for free, but please be aware that your carrier's normal rates & fees, such as text messaging & data charges, will still apply.
In the event you change or deactivate your mobile telephone number, you will update your account information on L12 HR within 48 hours to ensure that your messages are not sent to the person who acquires your old number.
You provide consent & all rights necessary to enable users to sync (including through an application) their devices with any information that is visible to them on L12 HR.
Payments
If you make a payment on L12 HR, you agree to our Payments Terms unless it is stated that other terms apply.
Special Provisions Applicable to Developers/Operators of Applications & Websites
If you are a developer or operator of a Platform application or website or if you use Social Plugins, you must comply with the L12 HR Platform Policy.
Amendments
We’ll notify you before we make changes to these terms & give you the opportunity to review & comment on the revised terms before continuing to use our Services.
If we make changes to policies, guidelines or other terms referenced in or incorporated by this Statement, we may provide notice on the Site Governance Page.
Your continued use of the L12 HR Services, following notice of the changes to our terms, policies or guidelines, constitutes your acceptance of our amended terms, policies or guidelines.
Termination
If you violate the letter or spirit of this Statement, or otherwise create risk or possible legal exposure for us, we can stop providing all or part of L12 HR to you. We will notify you by email or at the next time you attempt to access your account. You may also delete your account or disable your application at any time. In all such cases, this Statement shall terminate.
Disputes
You will resolve any claim, cause of action or dispute (claim) you have with us arising out of or relating to this Statement or L12 HR exclusively in Singapore courts, & you agree to submit to the personal jurisdiction of such courts for the purpose of litigating all such claims.
The laws of Singapore will govern this Statement, as well as any claim that might arise between you & us, without regard to conflict of law provisions.
WE TRY TO KEEP L12 HR UP, BUG-FREE, & SAFE, BUT YOU USE IT AT YOUR OWN RISK. WE ARE PROVIDING L12 HR AS IS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, & NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT L12 HR WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE OR THAT L12 HR WILL ALWAYS FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS. L12 HR IS NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, INFORMATION, OR DATA OF THIRD PARTIES, & YOU RELEASE US, OUR DIRECTORS, OFFICERS, EMPLOYEES, & AGENTS FROM ANY CLAIMS & DAMAGES, KNOWN & UNKNOWN, ARISING OUT OF OR IN ANY WAY CONNECTED WITH ANY CLAIM YOU HAVE AGAINST ANY SUCH THIRD PARTIES. L12 HR'S LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
